Social Values

The purpose of this Policy is to promote honesty, ethical conduct, and fair dealing within the Company and in it’s interactions with the outside world. It also serves to showcase the social values of the Company.

Compliance with applicable laws and regulations is the minimum standard of ethical behaviour expected of employees. Employees are expected to familiarise themselves with this Policy and, at all times, to work and to conduct themselves within its boundaries. Each employee is expected to use good judgement and common sense to comply with all applicable laws, rules, regulations and Company policies, and to ask for advice from his/ her supervisor and/ or the legal department when uncertain about them. A breach of any of the provisions of this Policy may lead to disciplinary action including dismissal.

Although strict conformity is required with this Policy, situations may arise where exceptions may be appropriate. A waiver of this Policy may be granted by the Board of Directors of the Company, subject to such terms as it may deem fit. Any employee that believes a waiver is appropriate should, after approval of his/ her supervisor, route his/ her request to the Board through the Company Secretary.

The following policies/ principles are also a part of this Policy.

 

• Anti-Corruption

Employees will not offer, promise, or pay a bribe to any foreign, domestic and local government and/ or public officials or request, agree to accept, or receive bribes from any foreign, domestic and local government and/ or public officials or otherwise breach applicable laws against bribery and corruption. A bribe may be described as the giving or offering to give ‘anything of value’ (meaning anything that might have value including, without limitation, cash, gifts, meals, entertainment, business opportunities, Company product, and offers of employment) to a government and/ or public official to influence a discretionary decision.

 

• Books and Records

Accurate information is essential for the Company to meet it’s statutory and regulatory obligations. All employees shall record and report all information accurately and honestly. All Company records shall be maintained in accordance with applicable regulations and standards.

 

• Competition

The Company endeavours to follow high standards of competition law compliance by not deviating from principles of fair competition and by avoiding anti-competitive behaviour.

 

• Confidentiality

The Company and its employees shall take adequate steps to maintain the security of proprietary and/ or confidential information entrusted to them, whether belonging to the Company and/ or third parties (including customers, process licensors, service providers, and suppliers). Such information may only be disclosed under law or applicable agreement(s).

 

• Employment

The Company is committed to ensure that all its employees and all applicants are treated without regard to their race, colour, religion, national origin, gender, age, marital status, disability or other characteristics protected by law. The Company believes in providing a healthy, safe, secure, challenging and enabling work environment that fosters employee growth and productivity. The Company does not tolerate any behaviour that harasses, disrupts or interferes with another person’s ability to work.

The Company respects the fundamentals values of labour under applicable law and contractual agreements including the right to association, union membership and collective bargaining. The Company follows all laws applicable to the welfare of workers including those relating to health and safety, working hours, remuneration, and disciplinary practices. The Company does not employ any child labour or forced labour.

• Conflicts of Interest

Employees must avoid any activity or situation where their personal interests would interfere, or appear to interfere, with the best interests of the Company.

 

• Gifts

The use of company funds or assets for gifts, gratuities or other benefits to customers, suppliers, sub-contractors and/ or other person with whom the Company is doing, or seeking to do, business is prohibited except to the extent such gifts, etc are in compliance with applicable law, are customary and reasonable under the circumstances.

Employees must not accept any gifts, gratuities, or other benefits from customers, suppliers, sub-contractors, and/ or other person doing, or seeking to do, business with the company, except to the extent such gifts, etc are in compliance with applicable law, customary and reasonable under the circumstances.

 

• Sub-Contractors/ Supply Chain

All sub-contractors and supply chain partners of the Company are expected to be in substantial and material compliance with the provisions of this Policy.

The Company reserves the right to alter, amend or terminate this Policy at any time.
